NOKO Terms of Service
Effective date: September 1, 2026
Last updated: September 1, 2026
These Terms of Service ("Terms") govern your access to and use of NOKO, including the NOKO website, mobile application, account services, subscription services, and related online features provided by Type II Logic ("Type II Logic," "we," "us," or "our").
By creating a NOKO account, purchasing a NOKO subscription, or using NOKO, you agree to these Terms. If you do not agree, do not use the service.
NOKO is a product of Type II Logic.
1. About NOKO
NOKO is point-of-sale and business-management software designed primarily for merchants and small retailers in Ghana.
NOKO may provide product catalog management, inventory tracking, sales recording, receipts, reports, account services, subscription access, quotations, supported electronic payment workflows, refunds, returns, synchronization, and related business tools.
NOKO is designed to support offline operation for core point-of-sale functions. Some features require internet access.
Type II Logic provides software and technology services. Type II Logic is not a bank, deposit-taking institution, electronic-money issuer, or payment settlement institution. NOKO does not hold merchant customer funds.
2. Who May Use NOKO
You must be legally capable of entering into these Terms and using the service for lawful business purposes.
If you use NOKO on behalf of a company, shop, partnership, organization, or other business, you represent that you have authority to bind that entity to these Terms.
You are responsible for ensuring that your use of NOKO and your business activities comply with applicable laws, licensing requirements, tax obligations, consumer obligations, payment-provider rules, and industry requirements.
3. Your NOKO Account
You are responsible for maintaining accurate account information and protecting access to your account, device, authentication methods, recovery channels, and authorized users.
You must promptly notify Type II Logic if you believe your account, device, passkey, session, or recovery method has been compromised.
You may not share authentication credentials in a way that defeats NOKO's security controls.
NOKO will never require you to provide a payment-provider password, mobile-money PIN, card PIN, CVV, or similar reusable financial credential to the NOKO application or website.
4. Subscription and Access
NOKO may require a paid subscription for some features.
The available plan, price, included features, and applicable billing terms will be shown before purchase.
Unless otherwise stated at purchase, a paid NOKO subscription provides access for a 30-day service cycle.
For an active subscription renewed early, confirmed renewal extends the existing paid-through date by the applicable service cycle so that already-paid access is not lost.
For an expired subscription, a newly confirmed subscription payment begins a new service cycle from the confirmed payment time.
Subscription expiration does not cause NOKO to intentionally delete completed sales, receipts, product records, inventory records, or other merchant business data.
Some provider-dependent or online features may become unavailable when entitlement expires, while local access to historical business data may remain available according to the product's current entitlement policy.
5. Automatic Renewal
If you expressly authorize automatic renewal using an eligible payment method, NOKO may instruct its payment provider to charge the authorized method for future 30-day renewal cycles.
A reusable payment authorization may be stored by the payment provider and referenced securely by Type II Logic. NOKO does not store full payment-card numbers or CVV values.
You may cancel or disable future automatic renewal through the account controls made available by NOKO or by contacting Type II Logic.
Cancellation of automatic renewal stops future renewal charges. Unless otherwise required by law or expressly stated, cancellation does not retroactively cancel a service period that has already been paid for.
A failed renewal does not create a new paid period. NOKO may provide a limited grace period according to the plan and product policy displayed to you.
6. Subscription Charges, Billing Errors, and Refund Requests
Subscription charges are processed through supported third-party payment providers.
If you believe a NOKO subscription charge is duplicated, unauthorized, or incorrect, contact Type II Logic promptly at support@jstifyd.com and provide enough information for us to locate the transaction without sending full card details or financial credentials.
Where a refund is required by applicable law, caused by a verified duplicate or billing error, or otherwise approved by Type II Logic, it will ordinarily be returned through the applicable payment-processing channel.
Except where required by law or expressly stated at purchase, activation and use of a paid digital-service period does not automatically create a right to a refund for unused time.
Nothing in these Terms limits any non-waivable rights you may have under applicable law.
7. Merchant Customer Payments
Where NOKO supports electronic customer payments, the payment is processed by an independent licensed payment provider.
NOKO may initiate, display, monitor, verify, and reconcile supported payment operations, but Type II Logic does not take custody of merchant customer funds.
A payment request, QR code, payment instruction, browser redirect, temporary account number, pending status, or customer statement that payment was made is not, by itself, proof that the payment succeeded.
NOKO may require server-side payment-provider verification before a payment is treated as final.
Settlement timing, supported channels, provider availability, transaction limits, fees, reversals, and other payment-processing conditions may be governed by the relevant payment provider and financial institutions.
8. Merchant Refunds and Product Returns
A payment refund and a product return are separate operations in NOKO.
A refund concerns money previously paid through a supported payment transaction. A product return concerns the merchant's physical inventory and may create a separate inventory movement.
Processing a refund does not automatically change inventory. Processing a product return does not automatically move money.
The merchant is responsible for determining whether a customer is entitled to a refund or return under the merchant's own policies and applicable law.
Where NOKO supports provider-based refunds, the refund may remain pending until the payment provider reports an authoritative result.
The original completed sale and original receipt remain historical records and are not rewritten merely because a later refund or return occurs.
9. Merchant Responsibilities
You are responsible for the products and services you sell; product descriptions, prices, stock information, discounts, and tax treatment you configure; obtaining any customer consent required to send quotations, receipts, or other messages; your refund and return policies; complying with consumer, tax, licensing, and business laws; maintaining lawful access to payment services; and reviewing business records for accuracy.
NOKO is a business tool. It does not provide accounting, tax, legal, banking, financial, or regulatory advice.
Reports, stock values, operational balances, and similar figures are operational software outputs and should be reviewed before being relied upon for accounting, tax, audit, or regulatory purposes.
10. Offline Operation and Synchronization
NOKO is designed so that important point-of-sale functions can continue when internet connectivity is unavailable.
Offline operation has limits. Online subscription verification, electronic payment processing, payment-status confirmation, refunds, synchronization, account recovery, and other provider-dependent features may require internet access.
Where synchronization is available, locally recorded information may remain pending until communication succeeds. A synchronization failure does not automatically invalidate a locally completed cash sale.
You are responsible for maintaining reasonable device availability and following backup, synchronization, export, or recovery procedures made available by NOKO.
11. Receipts and Quotations
A quotation is not a completed sale and does not, by itself, reduce inventory or establish that payment was made.
A receipt records a completed sale or other documented transaction state supported by NOKO.
Receipt delivery by SMS, printing, email, or another channel may depend on third-party services and may fail even when the underlying sale was completed successfully.
Failure to deliver or print a receipt does not automatically reverse an otherwise valid completed sale.
12. Customer Contact Information
If you enter a customer's phone number, email address, or other personal data into NOKO, you are responsible for ensuring you have a lawful basis to collect and use that information.
You must not use NOKO to send unlawful, deceptive, abusive, unsolicited, or prohibited communications.
You should collect only the customer information reasonably necessary for the intended transaction or communication.
13. Acceptable Use
You may not use NOKO to violate law or regulation; facilitate fraud, money laundering, theft, deception, prohibited goods or services, or unauthorized financial activity; probe, attack, disrupt, reverse engineer, or bypass security controls except where applicable law expressly permits; upload malware or malicious code; impersonate another person or business; misuse another person's payment or contact information; attempt to obtain payment-provider passwords, PINs, CVVs, or reusable credentials through NOKO; interfere with another merchant's account or data; or use the service in a manner that materially harms Type II Logic, our providers, users, or third parties.
We may restrict or suspend access where reasonably necessary to protect security, comply with law, respond to provider or regulatory requirements, prevent abuse, or investigate suspected violations.
14. Third-Party Services
NOKO may depend on third-party services such as payment processors, hosting providers, cloud infrastructure, communications providers, app-distribution platforms, device operating systems, and network providers.
Third-party services are governed by their own terms, availability, compliance requirements, and privacy practices.
Type II Logic does not control third-party outages, settlement schedules, bank processing times, mobile-network availability, or changes to third-party services.
Where Paystack is used, payment processing is also subject to Paystack's applicable terms and policies.
15. Service Changes
We may improve, modify, add, remove, replace, or discontinue features to maintain security, reliability, compliance, compatibility, or product quality.
If a change materially affects a paid service, we will provide notice where reasonably required.
We may introduce new optional features or plans subject to additional terms.
16. Availability and Maintenance
We aim to provide a reliable service but do not promise uninterrupted availability.
Maintenance, internet outages, device failures, mobile-network failures, payment-provider outages, cloud-service incidents, operating-system restrictions, security events, or events outside our reasonable control may affect parts of NOKO.
Offline-capable features may continue functioning independently of online services, but no software can guarantee that a device or stored data will never fail.
17. Data, Backups, and Device Responsibility
You remain responsible for your merchant business records, subject to the rights necessary for Type II Logic to provide the service.
Some NOKO data may be stored locally on your device. You are responsible for protecting the device against unauthorized access, loss, theft, damage, and unsupported modification.
Where NOKO provides backup, export, recovery, or synchronization features, you should use them as appropriate for your business.
Do not assume that deleting an online account will automatically erase every local copy of data, or that uninstalling the application will preserve local information.
18. Intellectual Property
NOKO, the NOKO website, software, design, documentation, branding, and related technology are owned by Type II Logic or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms and an active entitlement where required, Type II Logic grants you a limited, non-exclusive, non-transferable right to use NOKO for your lawful internal business operations.
These Terms do not transfer ownership of NOKO or Type II Logic intellectual property to you.
You retain ownership of your merchant content and business information, subject to the limited rights Type II Logic needs to process that information to provide, secure, support, and improve the service.
19. Feedback
If you voluntarily provide product feedback or suggestions, you allow Type II Logic to use that feedback to improve NOKO without an obligation to compensate you, provided we do not thereby acquire ownership of your underlying merchant data or personal data.
20. Privacy
Our collection and use of personal data is described in the NOKO Privacy Policy.
Privacy Policy: /privacy
You are responsible for your own privacy obligations when you collect or use personal data about customers, employees, or other individuals through your business.
21. Suspension and Termination
You may stop using NOKO at any time.
We may suspend or terminate online account access where reasonably necessary because of a material violation of these Terms, fraud or security risk, legal or regulatory requirement, payment-provider requirement, non-payment of applicable fees, abuse of the service, or risk to other users or systems.
Where reasonably possible and legally permitted, we will provide notice of a material suspension or termination.
Termination of an online service does not authorize Type II Logic to rewrite or fabricate completed sales or financial history.
Certain provisions that by their nature should survive termination will continue to apply, including provisions concerning payment obligations, intellectual property, historical transaction integrity, limitations of liability, dispute resolution, and legal compliance.
22. Disclaimer of Warranties
To the maximum extent permitted by applicable law, NOKO is provided on an "as available" basis.
Type II Logic does not warrant that every feature will always be uninterrupted, error-free, compatible with every device, or available through every third-party provider.
We do not guarantee the solvency, performance, settlement timing, or availability of independent payment providers, banks, mobile networks, app stores, hosting providers, or other third parties.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Type II Logic will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including loss of profits, anticipated savings, business opportunity, or goodwill, arising from use of NOKO where such exclusion is legally permitted.
Type II Logic is not responsible for losses caused solely by a merchant's inaccurate product, price, stock, tax, customer, or payment information; unauthorized access resulting from failure to protect a device or authentication method; third-party payment settlement delays or provider outages; unlawful merchant conduct; or use of NOKO contrary to documentation or these Terms.
Where liability cannot lawfully be excluded, it will be limited only to the extent permitted by applicable law.
Nothing in these Terms excludes or limits liability that applicable law does not allow us to exclude or limit.
24. Indemnity for Unlawful Merchant Conduct
To the extent permitted by law, you are responsible for claims, losses, penalties, and reasonable costs arising from your unlawful products or services, unlawful communications, misuse of customer data, fraudulent activity, violation of third-party rights, or material breach of these Terms.
This section does not require you to indemnify Type II Logic for Type II Logic's own unlawful conduct.
25. Governing Law
For NOKO services offered to merchants in Ghana, these Terms are governed by the applicable laws of Ghana, without limiting any non-waivable rights that apply to you.
26. Disputes
If a dispute arises, you should first contact Type II Logic so that we can attempt to resolve it promptly and in good faith.
If a dispute cannot be resolved informally, either party may pursue available remedies before a court or other competent authority in Ghana, subject to any mandatory procedure or right under applicable law.
Nothing in this section prevents either party from seeking urgent relief where necessary to protect security, confidential information, intellectual property, funds, or data.
27. Changes to These Terms
We may update these Terms to reflect product changes, security requirements, legal obligations, provider requirements, or new services.
The updated Terms will be published with a new "Last updated" date. Where required, we will provide additional notice or request renewed acceptance for material changes.
Continued use after an effective update constitutes acceptance only to the extent permitted by applicable law.
